Terms of Use

By accessing or using the Pivony website at pivony.com or the Pivony platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all visitors, users, and customers of the Service. Use of the Service by a company or organization means that you represent and warrant that you have authority to bind that entity to these Terms.

Pivony provides AI-powered consumer intelligence and Voice of Customer (VoC) analytics software as a service. The platform enables businesses to collect, analyze, and act on customer feedback through natural language processing, sentiment analysis, and AI-driven insights.

Features and functionality may change over time. We will provide reasonable notice of significant changes that affect your use of the Service.

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain the security of your account credentials and not share your password.
• Notify us immediately at security@pivony.com of any unauthorized access to your account.
• Be responsible for all activity that occurs under your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload, transmit, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use the Service to collect or process personal data in violation of applicable data protection laws (GDPR, KVKK, CCPA, etc.).
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use automated scripts, bots, or scrapers to access the Service without written permission.
• Resell, sublicense, or transfer your account or access rights to any third party without prior written consent from Pivony.
• Use the Service in a manner that could damage, disable, or impair its performance.

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and AI models — are owned by Pivony Technology Inc. and are protected by copyright, trademark, patent, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term. No ownership rights are transferred.

You retain all rights to the data you upload to the platform ("Customer Data"). By uploading Customer Data, you grant Pivony a limited license to process that data solely for the purpose of providing the Service to you.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as stated in your enterprise agreement.

You may cancel your subscription at any time through your account settings or by contacting billing@pivony.com. Cancellation takes effect at the end of the current billing period.

Pivony reserves the right to modify pricing with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

Each party agrees to keep confidential any non-public information disclosed by the other party and to use it only for the purposes of the business relationship. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Pivony does not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated insights are provided for informational purposes and should not be relied upon as the sole basis for business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIVONY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL PIVONY'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify and hold Pivony harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Pivony may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or if we believe your use poses a security or legal risk. We will provide notice where reasonably practicable.

Upon termination, your right to use the Service immediately ceases. You may request an export of your Customer Data within 30 days of termination; after that period, data may be deleted.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

For users in Turkey, disputes may also be subject to Turkish consumer protection law where applicable.

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice within the platform at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
